These Terms and Conditions ("Terms") explain the relationship between Marine Sealink BV("Sealink," "we," "our," or "us") and each individual or organization that accesses, registers, or orders through the Sealink web application and related services (the "Platform"). By creating an account, placing an order, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Quick summary (not legally binding): Sealink is an ordering and logistics coordination service for seafarers. We facilitate the procurement of goods from third-party vendors and deliver them to your upcoming port of call. All orders are reviewed, quoted, paid, and managed through our dashboard, messaging, and tracking tools.

1. Eligibility and Account Responsibilities

  1. You must be at least 18 years old and authorized to provide vessel, port, and itinerary information for the relevant crew or vessel.
  2. You are responsible for safeguarding your login credentials and implementing optional safeguards such as multi-factor authentication (MFA) available within the Platform.
  3. You agree to provide accurate, current, and complete information (including voyage plans, port ETAs, vessel details, recipient information, and product links) and to promptly update your account if anything changes.
  4. Sealink may suspend or terminate your account if we detect fraud, misuse, or violation of laws or these Terms.

2. Description of Services

  1. Sealink allows seafarers and authorized buyers to submit product requests via shareable URLs, specify calling ports and estimated arrival dates, and receive logistics support to deliver the requested items.
  2. The Platform offers dashboards, messaging threads, order status timelines, and tracking links to keep senders and recipients informed.
  3. Sealink may provide admin tooling to company users with sufficient privileges (e.g., procurement teams) to review all orders, ports, and analytics.
  4. All procurement, fulfillment, and delivery services are provided on a "best efforts" basis and depend on timely cooperation from third-party vendors, port authorities, and shipping agents.

3. Ordering, Quotes, and Payments

  1. Orders are submitted by pasting product links from third-party stores or entering product details manually. Sealink is not responsible for the accuracy or continued availability of third-party listings.
  2. After an order is submitted, Sealink reviews product feasibility, verifies itinerary details, and issues a price quote that may include product cost, logistics charges, and service fees.
  3. Quotes are valid for the period stated in the Platform. If no period is stated, they expire after 7 days. We may withdraw or revise a quote due to supplier price changes, port restrictions, or other factors outside our control.
  4. Payment links are provided for quotes that require upfront payment. Your order will not proceed to procurement until payment is received (unless we explicitly agree otherwise).
  5. Taxes, customs duties, brokerage fees, or port charges are your responsibility unless Sealink expressly agrees to cover them in writing.

4. Logistics, Delivery, and Risk

  1. You authorize Sealink to arrange procurement, consolidation, and delivery of ordered goods to the specified port or vessel.
  2. You must provide accurate calling port identifiers, ETAs (minimum 2 days in the future), vessel details, and any special instructions required for clearance or handover.
  3. Delivery timelines are estimates. Port congestion, customs inspection, weather, or vessel schedule changes may cause delays. Sealink is not liable for consequential losses caused by such delays.
  4. Title and risk of loss in the goods transfer to you when the goods are handed to you, your vessel representative, or a port agent you designate.
  5. If a delivery attempt fails due to inaccurate information or your unavailability, you may be responsible for rescheduling costs or storage fees.

5. Gift Orders and Third-Party Recipients

  1. Senders may mark an order as a "Gift" and provide recipient contact details. The sender is responsible for ensuring the recipient consents to share their information with Sealink and to receive notifications.
  2. Recipients can access order status through a shareable tracking link. Senders remain responsible for the cost of the order unless Sealink expressly agrees to accept payment from the recipient.

6. Communications and Messaging

  1. Sealink provides in-app messaging between you and our support/admin teams. All communications are logged to maintain an audit trail.
  2. You agree that Sealink may contact you (and recipients where applicable) via email or other channels with status updates, quotes, payment reminders, or necessary alerts.
  3. You must not upload or transmit any unlawful, defamatory, infringing, or harmful content through the messaging tools.

7. Acceptable Use and Intellectual Property

  1. You may only use the Platform for lawful purposes directly related to maritime personal procurement or authorized company logistics.
  2. You must not copy, modify, decompile, or reverse engineer any part of the Platform.
  3. All content, trademarks, and software on the Platform are owned or licensed by Sealink. We grant you a limited, revocable, non-transferable license to access the Platform for your internal use.

8. Data Protection

  1. Sealink processes personal data in accordance with our Privacy Policy, which forms part of these Terms.
  2. By using the Platform, you acknowledge that we will collect ship, itinerary, identity, and communication data necessary to fulfill your orders.

9. Third-Party Services

  1. The Platform integrates with Supabase for authentication and data storage, and may link to third-party shops (e.g., Amazon, eBay) from which you source product URLs.
  2. Sealink is not responsible for third-party content, product accuracy, or their privacy practices. You must comply with the third-party terms when using their services.

10. Warranties, Disclaimers, and Liability

  1. The Platform is provided "as is" and "as available." We do not guarantee uninterrupted access, error-free operation, or that all orders can be fulfilled.
  2. Sealink is not responsible for losses resulting from inaccurate user-provided data, third-party supply issues, acts of God, port closures, or customs inspections.
  3. To the extent permitted by law, Sealink's total liability for any claim arising out of these Terms or the Platform will not exceed the total fees paid by you to Sealink in the 12 months preceding the claim.
  4. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited under Dutch law.

11. Indemnification

You agree to indemnify and hold Marine Sealink BV, its directors, employees, and agents harmless from any claims, damages, or losses arising from (a) your breach of these Terms, (b) your violation of applicable laws, or (c) your misuse of the Platform.

12. Suspension and Termination

  1. We may suspend or terminate your access if we reasonably believe you violated these Terms, compromised security, or failed to pay fees.
  2. Upon termination, outstanding payment obligations survive, and we may retain order data to meet legal or operational requirements.

13. Changes to the Platform and Terms

  1. Sealink may modify or discontinue features (such as dashboards, tracking, admin analytics, or messaging) without prior notice, provided core contractual commitments are honored.
  2. We may update these Terms at any time. Material changes will be communicated via the Platform or email. Continued use after changes take effect constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands. Any disputes will be subject to the exclusive jurisdiction of the competent courts in Rotterdam, unless mandatory law specifies otherwise.
